Martin Scott is a corporate lawyer based in London. He specialises in corporate law and has been involved in a wide variety
of corporate transactions ranging from private company sales and acquisitions and public company takeovers to flotations and
secondary issues (acting both for issuers and investment banks).
Martin acts for listed and private companies based in the UK, Europe and Asia but has a strong focus on financial institutions.
He also has experience of schemes of arrangement (and Part VII FSMA transfers), capital reductions, corporate governance and
stock exchange issues generally. He acts on international transactions including securities issues, cross-border mergers and
acquisitions and joint ventures. Recent transactions include advising AXA on the sale of the majority of its UK Life business
to Resolution for £2.7 billion; advising Coventry Building Society on the transfer of the engagements of Stroud & Swindon
Building Society; advising HSBC Holdings plc on its £12.5 billion 5 for 12 rights issue; advising Travelers on the sale of
its London Market run-off insurance business to Enstar for US$340 million; and advising Bank of Ireland on the sale of the
Bristol & West retail branch network and associated deposit book of £4.5 billion to Britannia Building Society by way of a
Part VII FSMA banking business transfer scheme.
Chambers UK 2010 states that “Martin Scott is considered 'a brilliant lawyer to do business with', and receives plaudits for his relationships
with key clients AXA and HSBC”.
Martin joined the London practice in 1983 and became a partner in 1991. He spent over six years in the Hong Kong office and
is a member of the Norton Rose Group's Supervisory Board. Martin is also a member of the Company Law Committee of the Law
Society.
